Terms of Service

These Terms of Service govern your use of pipefuel.io and, where applicable, your engagement of PipeFuel LLC (“PipeFuel,” “we,” “us”) for outreach services. By using this site or engaging our services, you agree to these terms.

1. Who we are

PipeFuel LLC is a New Jersey limited liability company providing managed business-to-business outreach services. Contact: hello@pipefuel.io.

2. These terms and your service agreement

Clients engage PipeFuel under a separate written service agreement specifying tier, pricing, term, and scope. These Terms of Service supplement that agreement. Where the two conflict, the signed service agreement controls.

3. Description of services

PipeFuel provides managed outbound email outreach, which may include ideal client profile development, prospect list building and validation, sending infrastructure setup and domain warmup, email sequence writing and deployment, campaign monitoring and optimization, reply handling, and performance reporting. Specific deliverables depend on the tier selected.

PipeFuel is a service provider, not a software product. Clients do not receive a license to any platform, and access to the tools we use to deliver the service is not part of the engagement unless separately agreed in writing.

4. Subscription terms and billing

  • Services are provided on a monthly subscription basis.
  • Minimum term: three (3) months from the kickoff date. This is not a trial period and is not cancellable for convenience during the minimum term.
  • Setup fees: none. Onboarding and infrastructure setup are included in the first month’s subscription.
  • Payment is due in advance of each service month.
  • Fees are non-refundable except as expressly stated in these terms or the service agreement.
  • Accounts more than 15 days past due may be suspended. Suspension does not extend the minimum term or relieve payment obligations.
  • We may change pricing on 30 days’ written notice, effective at the start of a subsequent term. Pricing is fixed for the duration of a committed term.

The three-month minimum exists because outreach programs require domain warmup before any sending occurs and do not produce meaningful results until the ramp is complete. It reflects how long the service takes to work, not a lock-in tactic.

5. Performance guarantee

Where a performance guarantee is stated for the client’s tier, the following applies.

Definition. A “qualified reply” means a positive response from a verified decision maker at a targeted business indicating interest in a conversation, meeting, or next step. Automated replies, out-of-office messages, referrals to other personnel, requests for removal, and negative or non-responsive replies do not count.

Remedy. If the stated threshold is not met by the end of the third full service month, PipeFuel will continue providing services at no additional charge until the threshold is met. This is the sole and exclusive remedy for failure to meet the guarantee. The guarantee does not entitle the client to a refund.

Conditions. The guarantee is void if the client:

  • Fails to provide required inputs — ideal client profile, brand guidance, platform access, approvals — within a reasonable time of request
  • Delays approval of messaging by more than 10 business days
  • Materially changes target criteria mid-engagement
  • Requests targeting that we advise against and that materially affects performance
  • Is past due on payment at any point during the measurement period

6. Client responsibilities

The client is responsible for:

  • Defining and communicating the ideal client profile, including industries, company sizes, geographies, job titles, and exclusions
  • Providing accurate business information, brand voice guidance, and any required platform access
  • Reviewing and approving messaging before deployment
  • Responding to interested leads in a timely manner
  • Conducting sales conversations and closing business
  • Maintaining any licenses, registrations, or insurance required to perform the work it sells

Outreach programs depend on prompt client response. Leads decay quickly, and a qualified reply left unanswered for a week is generally a lost opportunity. PipeFuel is not responsible for outcomes affected by client delay.

7. Acceptable use and compliance

The client represents and warrants that:

  • Its business is lawfully operated and it holds all required licenses
  • Any content, claims, or offers it asks us to communicate are truthful and not misleading
  • Any contact data it supplies was lawfully obtained and may lawfully be used for commercial outreach
  • It will not use our services to promote unlawful, deceptive, or prohibited goods or services

PipeFuel operates campaigns in compliance with the CAN-SPAM Act and applicable email regulations. Every message carries accurate header information, a functional opt-out, and required sender identification. Opt-out requests are honored promptly and permanently.

We reserve the right to decline or discontinue any campaign we believe presents legal, regulatory, or deliverability risk, or that would jeopardize our sending infrastructure or other clients. We will refund any prepaid fees for services not rendered where we discontinue a campaign for these reasons.

8. No guarantee of business results

Except for any express performance guarantee in Section 5, PipeFuel makes no representation or warranty regarding revenue, contracts won, meetings held, deliverability rates, response rates, or return on investment.

Results described on pipefuel.io, including case studies and revenue figures, reflect the outcomes of specific client engagements under specific conditions. They are illustrative and are not a prediction, promise, or guarantee of what any other client will achieve. Outcomes depend on market conditions, the client’s offering and pricing, the competitiveness of the client’s market, and the client’s own sales execution — all of which are outside our control.

9. Intellectual property

Ours. PipeFuel retains all rights to its methodologies, processes, templates, sequence frameworks, internal tooling, and the pipefuel.io site and its content. Nothing in an engagement transfers ownership of these.

Yours. The client retains all rights to its trademarks, logos, brand assets, and any content it supplies. The client grants PipeFuel a limited license to use these solely to deliver the services.

Deliverables. On full payment, the client owns the prospect lists built specifically for its engagement and the finalized email copy written for its campaigns. Underlying frameworks, templates, and methodology remain ours.

Case studies. We will not identify a client by name or use its logo in marketing without prior written permission.

10. Confidentiality

Each party agrees to protect the other’s confidential business information and to use it only for purposes of the engagement. This includes client customer data, pricing, sales processes, and business strategy, and it survives termination for three (3) years.

11. Third-party platforms

Delivery of services depends on third-party providers including email service platforms, data providers, and hosting infrastructure. PipeFuel is not liable for outages, policy changes, account suspensions, or service degradation caused by these providers, though we will work in good faith to restore service and, where an outage materially affects a service month, to make it right.

12. Limitation of liability

To the maximum extent permitted by law:

  • PipeFuel’s total aggregate liability arising from or related to the services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
  • PipeFuel shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost business, or lost data, even if advised of the possibility.
  • Services are provided on an “as is” and “as available” basis. Except as expressly stated, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

The client agrees to indemnify and hold harmless PipeFuel, its members, officers, and personnel from any claim, damages, liability, or expense (including reasonable attorneys’ fees) arising from: the client’s breach of these terms; the accuracy or legality of content or claims the client asked us to communicate; contact data the client supplied; or the client’s own conduct in sales conversations or subsequent business relationships.

14. Termination

By the client. After the minimum term, either party may terminate on 30 days’ written notice, effective at the end of the then-current service month.

By PipeFuel. We may terminate immediately for non-payment, breach of Section 7, or conduct that damages our infrastructure, reputation, or other clients.

On termination. Prepaid fees for service months not yet begun are refunded. Fees for the current month are not prorated. We will provide the client’s prospect lists and campaign materials on request within 30 days. Sending domains and mailboxes provisioned by PipeFuel remain ours unless otherwise agreed in writing.

15. Changes to these terms

We may update these terms. Material changes affecting active clients will be communicated directly and take effect at the start of the next service month. Changes affecting site use take effect on posting.

16. Governing law and disputes

These terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. The parties agree to attempt good-faith resolution of any dispute before initiating formal proceedings. Any action shall be brought in the state or federal courts located in Morris County, New Jersey, and both parties consent to that jurisdiction.

17. General

If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. These terms, together with any signed service agreement, constitute the entire agreement between the parties. The client may not assign its agreement without our written consent.
